Terms of Service

Welcome to TutorNetworking ("the Platform" or "we"). TutorNetworking is a lightweight SaaS platform built for small teaching brands, providing brand pages, online payments, automated revenue sharing, and student management.

Please read these Terms of Service carefully before using the Platform. By registering an account or using our services, you acknowledge that you have read, understood, and agree to be bound by all terms herein.

If you do not agree to any part of these Terms, please do not use the Platform.

TutorNetworking provides the following services for teaching brands:

• Brand Management: Create teaching brands, manage teacher roles (Founder, Admin, Member), invite and recruit teachers
• Brand Pages: Each brand has its own public page showcasing brand info, courses, and team members
• Course Management: Set up course content, course packages, and assign teaching staff
• Student Management: Track student records and lesson balances
• Booking System: Course booking management with Google Calendar integration (see "Google Calendar Integration Services" section below)
• Payment Processing: Secure online payments through ECPay and TapPay
• Automated Revenue Sharing: Automatic calculation of platform fees and internal brand revenue splits, with monthly revenue reports

The Platform provides SaaS tools and services. We do not employ teachers, nor do we control teaching content, methods, or quality. Teaching brand operations are managed by brand founders.

Teachers may optionally connect their Google Calendar to TutorNetworking for enhanced booking management.

OAuth Authorization:
When you connect your Google Calendar, you agree to:
• Grant TutorNetworking limited access to your Google Calendar
• Understand that we request two specific permissions:

• calendar.readonly: Read calendar availability (to check for conflicts)
• calendar.events: Create/modify calendar events (to sync bookings) • Acknowledge that you can revoke this access at any time

Automatic Booking Sync:
• Confirmed student bookings automatically create events in your chosen destination calendar
• Rescheduled bookings update the corresponding calendar event
• Cancelled bookings delete the corresponding calendar event
• You are responsible for managing your calendar and ensuring accuracy

Your Responsibilities:
• Maintain accurate calendar information
• Keep your Google account secure
• Review synchronized events for accuracy
• Notify us immediately if you notice unauthorized calendar access
• Ensure your calendar availability reflects your true availability

Platform Responsibilities:
• Encrypt and securely store calendar access tokens
• Only access calendar data for legitimate booking-related purposes
• Respect your calendar privacy and not read existing event details
• Provide easy disconnection mechanism in Settings

Service Limitations:
• Calendar sync depends on Google Calendar API availability
• We are not responsible for Google service outages or API changes
• Sync delays may occur (typically within 60 seconds)
• Some calendar features may not be supported

Disconnection:
• You may disconnect your calendar at any time via Settings → Calendars
• Disconnecting will NOT automatically delete previously synced events
• You must manually delete synced events after disconnection if desired
• Disconnection prevents future booking syncs

Third-Party API Dependencies:
This service relies on Google Calendar API:
• Google's Terms of Service apply: https://developers.google.com/terms
• We are not responsible for changes to Google's API or policies
• Service may be temporarily unavailable due to Google maintenance

Service Interruptions:
If calendar integration becomes unavailable:
• Bookings will still be confirmed via email
• Manual calendar management may be required temporarily
• We will notify you of extended outages
• No refunds or compensation for temporary calendar sync failures

Account Registration
You may register and sign in using your Google account. You must provide accurate and truthful personal information during registration.

Account Security
You are responsible for maintaining your account security, including:
• Keeping your Google account credentials secure
• Not sharing your account with others
• Notifying us immediately of any suspicious account activity

Role Selection
During registration, you must choose one role:
• Teacher: Can create a personal page, join teaching brands, and accept student bookings
• Student: Can browse teaching brands, purchase course packages, and book lessons
• Role cannot be changed after selection (use a different email to register for another role)

Brand Roles
After joining a teaching brand, teachers have different permissions based on their role:
• Founder: Brand creator with full management permissions, including member management, course settings, and revenue split adjustments
• Admin: Assists with brand management, can manage courses and students
• Member: Accepts assigned teaching tasks

Brand Founder/Admin Responsibilities
As a brand founder or admin, you agree to:
• Ensure brand information (description, course content, pricing) is accurate and truthful
• Properly manage teacher and student data
• Ensure fair and reasonable revenue split settings within the brand
• Take responsibility for content on the brand's public page

Teacher Responsibilities
As a teacher, you agree to:
• Provide truthful information about teaching qualifications and experience
• Attend confirmed bookings on time
• Deliver professional teaching services
• Comply with applicable education regulations
• Respect student rights

Student Responsibilities
As a student, you agree to:
• Attend booked lessons on time
• Respect teachers' expertise and time
• Provide advance notice for cancellations per the cancellation policy
• Pay for confirmed course fees

Prohibited Conduct
All users are prohibited from:
• Posting false or misleading information
• Harassing or threatening other users
• Engaging in any illegal activities
• Abusing platform features or circumventing system restrictions
• Using others' data or photos without authorization

Platform Fees
The platform charges different service fee rates based on student source:
• Brand-invited students (joined via invitation link): 0% of course fees
• Platform students (found through platform search): 15% of course fees
• Platform fees are automatically deducted from each course order

Internal Brand Revenue Sharing
• Brand founders can customize internal revenue split ratios
• Revenue splits are automatically calculated by the platform, with monthly reports generated
• Teachers can view their own revenue and payout details in the dashboard

Student Fees
When students purchase course packages through the platform:
• Course fees are charged at the price set by the brand
• Upon purchase, students receive the corresponding number of lesson credits for booking

Course Validity Period
After purchasing a course package, students must complete all lesson bookings and attendance within the following timeframes:
• 1-10 lessons: within 3 months of purchase
• 11-20 lessons: within 6 months of purchase
• 21 or more lessons: within 12 months of purchase

Payment Methods
The platform provides secure payment services through ECPay and TapPay. All transactions are subject to the respective payment provider's terms of service.

Settlement and Payouts
The platform settles and disburses teacher earnings on a monthly basis:
• Lessons are automatically marked as completed 48 hours after the session ends
• On the 5th of each month, earnings from all completed lessons in the previous month are calculated
• After deducting service fee (10%, includes payment processing, tax, invoicing), monthly payslips are generated
• The platform disburses funds to the teacher's designated bank account
Both brand founders and teachers can view monthly revenue reports and payout details in the dashboard.

Free Registration
Registration is free for both teachers and students. No registration fees, monthly fees, or annual fees.

Unused lessons can be refunded at any time, no questions asked.

Completed lessons are charged at the original per-lesson rate, and the remaining balance is refunded. Package discounts apply only when all lessons are used.

Dispute Resolution
Disputes between teachers and students should be resolved by both parties directly. The platform does not mediate teaching quality or service disputes.

Contact us only for:
• Fraud or illegal activities
• Harassment or inappropriate behavior
• Platform technical issues

Platform Content:
• All platform code, design, and features are owned by TutorNetworking
• Platform trademarks and logos are protected
• Users may not copy, modify, or redistribute platform code

Your Content and Data - You Own:
• Your teacher profile content and photos
• Student booking information and contact details
• Teaching materials and intellectual property
• Your Google Calendar data (we only sync bookings)
• Your brand-related content (brand description, course details, etc., managed by brand founders)
• Reviews and ratings associated with your profile

Platform License:
By using TutorNetworking, you grant us a limited license to:
• Display your information on brand public pages and teacher profile pages
• Process course orders and automatically calculate revenue splits
• Sync booking information to your connected Google Calendar (if enabled)
• Generate anonymous analytics to improve platform services
• Display reviews and ratings associated with your profile

This License is:
• Non-exclusive (you retain full ownership)
• Revocable (you can delete your account anytime)
• Limited to platform functionality only
• Not transferable to third parties without your consent

Calendar Data Rights:
• Your Google Calendar remains yours - we do not claim ownership
• We create events in your calendar on your behalf for bookings only
• You may modify or delete synced events at any time
• Disconnecting integration does not delete previously synced events

Student Data Handling (For Teachers):
• Student booking information is provided for conducting lessons
• You must protect student privacy and data
• Do not share student information with unauthorized parties
• Comply with applicable data protection laws (Taiwan PDPA, GDPR if applicable)

Platform Role:
• TutorNetworking is a SaaS platform providing tools and services to help teaching brands operate
• Teaching brand operations are managed by brand founders
• We do not verify teacher qualifications or teaching quality
• We are not responsible for the conduct of teachers or students

Service Quality:
• The Platform is provided "as is" without warranties
• We do not guarantee continuous, error-free operation
• We are not liable for indirect, incidental, or consequential damages

Third-Party Services and API Dependencies:

Google Calendar API:
• Calendar integration depends on Google Calendar API availability
• We are not responsible for Google service outages, rate limits, or API changes
• Google's Terms of Service apply: https://developers.google.com/terms
• Calendar sync failures due to Google API issues are not grounds for refunds
• We will make reasonable efforts to notify you of extended outages

Payment Services (ECPay, TapPay):
• Payment processing depends on ECPay and TapPay service availability
• We are not responsible for payment service failures or declined payments
• Each payment provider's Terms of Service and Privacy Policy apply
• Payment disputes should be resolved through the respective payment provider's process

General Third-Party Disclaimer:
• Integration with all third-party services is provided as-is
• We are not responsible for third-party service failures
• Third-party services have their own terms and privacy policies
• Service interruptions may occur without notice

Calendar-Specific Limitations:
• No guarantee of real-time calendar sync (typical delay: 60 seconds)
• Not responsible for booking conflicts if calendar data is outdated
• Not responsible for data loss due to Google account issues
• Teacher responsible for verifying calendar sync accuracy

Maximum Liability:
• Our maximum liability is limited to the amount of service fees paid in the past 12 months
• This limitation applies to the fullest extent permitted by law

Termination by User
You may terminate your account at any time. Upon termination:
• Your personal data will be handled according to our Privacy Policy
• Confirmed bookings must still be fulfilled
• Unused prepaid service fees may be refunded upon request

Termination by Platform
We reserve the right to terminate your account if you violate these Terms, including but not limited to:
• Providing false information
• Engaging in illegal or inappropriate behavior
• Abusing platform features
• Seriously harming other users' interests

Update Notification
We may update these Terms from time to time. For significant changes, we will notify you via email or platform announcement.

Effective Date
Changes take effect 30 days after announcement. If you continue using the Platform after the effective date, you are deemed to have accepted the new Terms.

Disagreement
If you do not agree to the new Terms, you may terminate your account before the effective date.

These Terms are governed by the laws of Taiwan. The competent court is the Taipei District Court, Taiwan.
